Terms of Service

1. Acceptance of Terms
By accessing or using the Krip platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Description of Service
Krip provides a modular HR management platform consisting of: (a) a free, open-source Nextcloud app (AGPL licensed), and (b) a proprietary cloud API backend that processes business logic and stores data. The Service requires a valid subscription for paid features.
3. Accounts
You are responsible for maintaining the security of your API key and Nextcloud admin credentials. You must notify us immediately of any unauthorized access to your account. You are responsible for all activity that occurs under your account.
4. Subscriptions & Payment
Paid subscriptions are billed per active employee, per year. Prices are as displayed on our pricing page at the time of purchase. We may change prices with 30 days' notice. Payment is due at the start of each billing period. Overdue accounts may be suspended after a 14-day grace period.
5. Free Plan
The free plan is provided as-is with no SLA. We reserve the right to modify free plan limits with 30 days' notice.
6. Your Data
You retain ownership of all data you store through the Service. We process your data solely to provide the Service as described in our Privacy Policy. You are responsible for the accuracy and legality of the data you store.
7. Nextcloud App (AGPL)
The Krip Nextcloud app is licensed under the GNU Affero General Public License v3 (AGPL-3.0). The source code is available on GitHub. The AGPL license applies only to the Nextcloud app, not to the proprietary backend API.
8. Prohibited Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the proprietary backend
- Use the Service to store or process data in violation of applicable laws
- Attempt to access other tenants' data or circumvent security measures
- Exceed your plan's usage limits through automated means
- Resell access to the Service without written permission
9. Service Availability
We aim for 99.9% uptime for the cloud API but do not guarantee uninterrupted service. Scheduled maintenance will be communicated at least 48 hours in advance. Self-hosted enterprise deployments are managed by the customer and not covered by our uptime commitments.
10. Limitation of Liability
To the maximum extent permitted by law, Krip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
11. Termination
You may cancel your subscription at any time. Access continues until the end of your current billing period. We may terminate your account for violation of these terms with 14 days' notice (or immediately for security-related violations). Upon termination, your data is retained for 30 days before permanent deletion.
12. Changes to Terms
We may update these terms with 30 days' notice via email or the admin dashboard. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
13. Governing Law
These terms are governed by the laws of the European Union and the applicable national law of our registered jurisdiction. Disputes shall be resolved in the competent courts of that jurisdiction.
