Terms of Service

1. Acceptance of Terms

By accessing or using the Krip platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

Krip provides a modular HR management platform consisting of: (a) an open-source Nextcloud app that stores core records and runs local workflows, and (b) licensed backend images for paid capabilities such as AI processing, maintained integrations, and advanced automation. Both run on infrastructure controlled by the customer.

3. Accounts

You are responsible for maintaining the security of your license key and Nextcloud admin credentials. You must notify us immediately of any unauthorized access to your account. You are responsible for all activity that occurs under your account.

4. Subscriptions and Payment

Standard subscriptions use fixed annual prices based on the organization's active Krip employee range. Prices are as displayed on our pricing page at the time of purchase. We may change prices with 30 days' notice. Payment is due at the start of each billing period. Overdue accounts may be suspended after a 14-day grace period.

5. Free Plan

The free plan is provided as-is with no SLA. We reserve the right to modify free plan limits with 30 days' notice.

6. Your Data

You retain ownership and control of all HR data stored in your Nextcloud instance and licensed backend deployment. Krip does not receive or store that HR data. We process only account, billing, support, and license metadata as described in our Privacy Policy.

7. Nextcloud App (AGPL)

The Krip Nextcloud app is licensed under the GNU Affero General Public License v3 (AGPL-3.0). The source code is available on GitHub. The AGPL license applies only to the Nextcloud app, not to the proprietary licensed backend images.

8. Prohibited Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of licensed backend images
• Use Krip to store or process data in violation of applicable laws
• Circumvent license validation or other security measures
• Exceed your plan's usage limits through automated means
• Resell access to the Service without written permission

9. Service Availability

Krip operates the license validation service. The Nextcloud app and licensed backend images run on infrastructure controlled by the customer. Availability commitments apply only when stated in an Enterprise agreement.

10. Limitation of Liability

To the maximum extent permitted by law, Krip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

11. Termination

You may cancel your subscription at any time. Access continues until the end of your current billing period. We may terminate your account for violation of these terms with 14 days' notice (or immediately for security-related violations). Termination does not delete HR data from infrastructure controlled by the customer. Krip retains limited account, billing, support, and license records only as described in our Privacy Policy.

12. Changes to Terms

We may update these terms with 30 days' notice via email or the admin dashboard. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by the laws of the European Union and the applicable national law of our registered jurisdiction. Disputes shall be resolved in the competent courts of that jurisdiction.
